The Board’s role in critical oversight of Management and in risk management of the corporation’s business model are both well accepted.  But what role should the Board have in assessing, maintaining and even improving the corporation’s ethical culture?  And exactly what is “ethical culture”? How things are really done? Tone at the top? Behavior, not just HR manuals and codes of conduct? Accountability?  What is the nexus between ethical culture and performance?
